Block Buying Group Terms and Conditions

I, the undersigned, individually and on behalf of any corporate or partnership entity applying, do hereby apply for membership in Block Buying Group, (Block) and do hereby agree to comply with the terms and conditions set forth as follows:

1.	To pay all statements received by me from Block each month by the 15th of the calendar month following the statement date in full and without exception. Neglect in doing so will result in a loss of discount. A charge of 15% (equal to the average discount) will be imposed on any unpaid invoices at the end of the month following the statement date.
2.	To contact Block no later than the 15th of the month in case of errors or inquiries regarding my bill so that accurate, timely payment may still be made to Block.
3.	That any invoices or credits not reflected on my statement are next month's business and may not be deducted from the current billing.
4.	To hold harmless and indemnify Block against any claims that may be brought against Block in connection with any product or services purchased through Block.
5.	That this agreement shall be governed by the laws of The State of Florida and may not be modified except by written agreement signed by both parties. We consent to the jurisdiction of the courts of Florida and will accept service of process by certified mail.
6.	I will be responsible for any attorney fees or collection agent fees incurred by Block for the enforcement of this agreement.
7.	That whether I am doing business as a proprietorship, partnership, corporation, limited liability company or other form of business association, each member of said entity shall abide by the terms and conditions of this agreement and by signing below shall personally guarantee payment of all charges billed by Block.
8.	That in the event of a change of ownership, I am required to send Block written notification to close my account so the new owner(s) may apply for membership. Non compliance may result in my being responsible for any changes made to my account after the date of transfer.
	Upon submitting this application, I authorize Block Buying Group to obtain a written or oral report from any credit reporting agency and authorize my bank and trade references to give Block Buying Group any and all necessary information needed to process this application.
